Introduction

Joinrs S.r.l. operates and owns Joinrs, a platform (website and mobile application) designed to provide a range of services aimed at enhancing the overall academic and professional experience of its users.

Joinrs has developed a digital platform available via the web and through the mobile application ("Joinrs App"), intended to provide study tools and facilitate the matching of job supply and demand. Users seeking employment may submit applications by entering their personal data and any professional skills and/or experience acquired, attaching their curriculum vitae ("CV") to their user profile or entering, in the relevant section, information concerning their education and experience. Including a photograph on Joinrs is not mandatory and does not replace other Internet services such as personal pages, photo-sharing websites, etc. Joinrs recommends that photographs included in a CV be personal and of good quality.

In providing its services, Joinrs disseminates data provided by users. All users have access to a control panel and are fully responsible for the data and other information displayed on the Portal. Although Joinrs provides its services with due care and attention, it cannot verify or guarantee the accuracy, completeness or correctness of the information, nor shall it be liable for any errors, including obvious or typographical errors, service interruptions, whether due to temporary failures and/or partial repairs, updates, website maintenance or any other cause, inaccurate, misleading or false information, or any failure to complete such information. Each operator remains responsible at all times for the accuracy, completeness and correctness of descriptive information.

Users, visitors and any person using www.joinrs.com (the "Portal") are subject to the Terms and Conditions set out below, as well as the relevant Privacy Policy. In this document, we generally refer to you ("You/User") as any person who uses the Portal and who, after the first visit, has begun using the services and functions provided therein, thereby confirming acceptance of these terms and conditions of use.

You must be at least 18 years old to register with the Portal. Joinrs will not accept registrations from minors and is not able to monitor the conduct of its registered users. Users, as defined below, who register while under the age of 18 do so at their sole risk and responsibility, and Joinrs accepts no liability in this respect, while reserving the right to take any appropriate measures and/or, more generally, to act against unlawful activities on the website and the Portal.

To register a user account on Joinrs, you will be asked to provide your first name, last name, email address and password, in accordance with the Privacy Policy, which you should read before completing registration and must accept in order to register with Joinrs. Once registered, in order to view job opportunities matching your profile, you must upload your curriculum vitae (CV). Failure to upload a CV or provide a description of your skills and profile will prevent access to the matching features and to the display of matching job opportunities.

Joinrs makes available to users tools based on artificial intelligence systems ("AI Agent") intended to provide automated suggestions regarding the compatibility between the user’s profile and job opportunities, as well as general guidance for preparing for job interviews.

Such suggestions do not constitute professional, legal or career advice, nor do they guarantee the accuracy, completeness or successful outcome of an application or recruitment process. Nor do they constitute a direct or indirect statement attributable to the relevant company that published the job posting in respect of which information is requested. Joinrs does not guarantee that use of the AI Agent will result in interviews, job offers or employment, nor that compatibility assessments will reflect the actual decisions made by companies.

The assessments and suggestions provided by the AI Agent are for informational and support purposes only. Final decisions concerning recruitment processes are always made by the companies and are not based solely on automated processing carried out by Joinrs. For the operation of the AI Agent, Joinrs may analyse the information provided by the user in their profile and curriculum vitae. The user acknowledges that such systems operate on a probabilistic basis and may generate inaccurate, incomplete or outdated responses. Joinrs shall not be liable for any decisions, actions or omissions made by the user on the basis of suggestions provided by the AI Agent, nor for any direct or indirect damage arising from use of these features. The user acknowledges that artificial intelligence systems may have technical limitations or errors and that the results provided should be interpreted critically.

Joinrs reserves the right to limit, suspend or modify at any time any features based on artificial intelligence, including in cases of misuse, abuse or risks to the security of the service.

The user must not share with Joinrs, or with Joinrs clients or collaborators, any sensitive and/or judicial data within the meaning of Article 4(1)(d) and (e) of Italian Legislative Decree No. 196/2003. Users who, exceptionally and in connection with specific job opportunities or searches, need to disclose sensitive and/or judicial data to Joinrs must provide such data only after giving express written consent, in accordance with the applicable specific provisions.

1. Definitions

  • "Portal": the website available at the URL www.joinrs.com, the Joinrs application or any other URL through which Joinrs S.r.l. chooses to provide the service, as notified to Users from time to time.
  • "User": a registered User of the Portal who has successfully completed the registration procedure. Generally, the term refers to a student or graduate seeking information on academic or employment-related matters. The term is also used to refer to Recruiters or Employers, as defined below.
  • "Content": all content available on the Portal, including trademarks, service marks and logos, as well as software, HTML/Flash code and any other type of code used on the website.
  • "Job Postings": all content published from a Recruiter or Employer profile presenting a job position or intended for recruitment purposes.
  • "Recruiter, Employer or employer": a registered User of the Portal who advertises job opportunities and workplaces to the public.

2. Access to the Portal

To access all features of the Portal, you must register and activate a User Account. You may not use another User’s Account. When registering your account, we ask you to provide accurate and complete information. You are solely responsible for all activities carried out through your account and must therefore keep your credentials secure. Otherwise, you will be responsible for any activity carried out on your account using your login details. You may change your password at any time. You also agree to notify Joinrs immediately of any unauthorised use of your password or account, or any other security breach of which you become aware. Joinrs shall not be liable for any loss or damage arising from your failure to comply with this Section 2, nor for any breach, unauthorised access or other event arising from Users’ conduct.

Joinrs allows you to link your User Account to your Facebook account or other social networking accounts ("SNS"). When you create a linked account, you may access the SNS and, at the same time, automatically access the Portal. Your name and profile picture will be the same as those of the linked SNS, although you may change them on the Portal. Joinrs is not responsible for the operation or functionality of any SNS. Facebook is a registered trademark of Facebook Meta.

You agree that Joinrs, within the scope and purposes of its business, has the right and authorisation to use your name, voice, image and any representations made by you, in any medium and worldwide, for advertising, promotional, reporting and information-distribution purposes relating to the company or its business activities.

Following registration as a User, Joinrs grants you permission to use the Portal in accordance with these Terms and Conditions, provided that:

  • You do not copy, alter or distribute any part of the Portal or the Content, in any form, without Joinrs’ prior written authorisation.
  • You do not use any third-party software, code or hardware to alter or modify any part of the Portal and/or its underlying mechanisms.

If you do not agree with any part of this document and/or the relevant Privacy Policy, you must immediately discontinue use of the Portal and you are not authorised to register. If you have already registered, you must contact Joinrs and request the immediate deletion of your account. Use of the Portal in breach of this Section 2 shall entitle Joinrs to suspend your account and/or take any legal action deemed necessary.

3. User Profile and Curriculum Vitae

3.1. After registering with the Portal, the User shall attach their curriculum vitae ("Curriculum") in order to view job opportunities aligned with their profile and submit applications. Users authorise Joinrs to process the personal data contained in the CV for recruitment purposes and for displaying compatible job opportunities. The User is invited not to include special categories of personal data or data relating to criminal convictions and offences in the CV. If the User chooses to include such data, they remain responsible for doing so and acknowledge that Joinrs will process such data only to the extent necessary to provide the service and in accordance with the Privacy Policy. Data may be shared with Joinrs client companies for recruitment purposes, in compliance with the GDPR and applicable law. The User may request access to, modification or deletion of their data at any time. Such personal data and information may be used by Joinrs and third-party companies exclusively for purposes connected with these User Terms of Service and Joinrs’ Privacy Policy. The User has the right to access their personal data, obtain its update or rectification where inaccurate, and request its deletion. Joinrs will proceed with deletion within the time limits and subject to the restrictions provided by applicable law and the Privacy Policy, without prejudice to any legal retention obligations. The User may delete their account and related data at any time from the Profile - Settings page. These rights may be exercised through the website or App settings.

3.2. The data and information contained in the CV submitted when the User applies for a job opportunity will be processed by Joinrs and third-party companies for recruitment purposes, in accordance with applicable privacy law and the specific provisions of Joinrs’ Privacy Policy. If the data and information included in the User’s Curriculum are insufficient to enable Joinrs to provide recruitment services, Joinrs reserves the right to request additional information from the User to complete their profile. Joinrs may not transfer data provided by the User to third parties, except to Joinrs clients and partners and exclusively for recruitment purposes. The User acknowledges that, where express consent is required to disclose their data to Joinrs client companies for recruitment purposes, failure to provide such consent may prevent Joinrs from providing the service. Candidates also expressly authorise Joinrs to access their personal information in order to inform them of specific job opportunities suited to their professional profile.

3.3. Following creation of the User Account and on the basis of the information provided by the User through their CV regarding education, experience and professional preferences, the User may be contacted by prospective employers or directly by Joinrs using the email address provided to Joinrs at registration or the contact details included in the CV uploaded by the User. When the User creates their profile, uploads or updates the CV, the User authorises and requests Joinrs to set the profile as searchable on the Site ("searchable") by default.

The User may enable or disable at any time the option allowing companies to contact them directly using the information included in their profile or attached CV. This option may be managed freely from the "Settings" section of the user profile. If disabled, companies will not be able to view the User’s contact details or contact them directly, without prejudice to applications already submitted. Profiles that are not searchable on the Site will be available only to companies in respect of which the job-seeking User has initiated an application or chat, or to which the User has provided their CV. It is the User’s responsibility to ensure that their profile is accurate and up to date. If a CV or user profile contains content prohibited under this Agreement or if, for any other reason and at Joinrs’ sole discretion, it is deemed appropriate, Joinrs may set the profile as non-searchable or make it unavailable.

The system also allows a chat to be initiated between a company and the User. The company may send the User a connection and contact request, which the User may accept or reject. If accepted, a direct conversation via chat and email will be activated and the company will be able to view the User’s contact details. If rejected, the chat will not be activated and the User’s contact details will remain confidential.

The User also authorises Joinrs to send, by email and other means, notices and news concerning Joinrs clients, as well as newsletters, career advice, job opportunities, reports and trends relating to employment opportunities, online experiences and other employment or training opportunities. The User may request deactivation of the service at any time by unsubscribing from the newsletter option.

3.4. Since Joinrs only provides the digital platform and related services, Joinrs cannot be held liable for the content of communications sent to Users by prospective employers, or for communications sent in the opposite direction, including any attached files, images and photographs, all of which remain entirely outside Joinrs’ control.

3 bis. Employer Profiles

Job postings must not contain hyperlinks other than those expressly authorised, illegible or "hidden" keywords, names, logos or trademarks of unaffiliated companies without Joinrs’ prior authorisation, more than one job or job description, inaccurate, false or misleading information, or material or links to material that exploits people sexually, violently or otherwise, or that requests personal information from persons under the age of 18.

As an employer, you may not use a job posting or online experience on Joinrs to publish or promote job advertisements:

  • (1) that fail to comply with applicable local, national or international laws, including, without limitation, laws relating to labour and employment, equal employment opportunities, employment eligibility requirements, privacy and data protection, access to and use of data, and intellectual property;
  • (2) that require citizenship of a particular country or lawful permanent residence in a country as a condition of employment, unless necessary to comply with laws, regulations, executive orders or federal, state or local government contracts;
  • (3) that require the candidate to provide information relating to: (i) racial or ethnic origin; (ii) political opinions; (iii) philosophical or religious beliefs; (iv) trade union membership; (v) physical or mental health; (vi) sex life; (vii) the commission of criminal offences or criminal proceedings; or (viii) age, except where permitted by applicable law;
  • (4) that include screening requirements or criteria that are not current or lawful;
  • (5) that, with reference to profiles, are intended to determine a consumer’s eligibility for: (i) credit or insurance for personal, family or household purposes; (ii) employment; or (iii) a government licence or benefit;
  • (6) intended to sell, promote or advertise products or services;
  • (7) intended to support a particular political party, political agenda, political position or political issue;
  • (8) intended to promote a particular religion;
  • (9) intended to publish business opportunities requiring an upfront or recurring payment, or requiring the recruitment of other members, sub-distributors or sub-agents;
  • (10) intended to publish business opportunities offering commission-only remuneration, unless the posting clearly states that the available work is remunerated exclusively by commission and clearly describes the product or service that the job seeker will be expected to sell;
  • (11) intended to request the use or donation of human body parts, including, by way of example, reproductive services such as egg donation and surrogacy;
  • (12) intended to advertise sexual services or seek employees for work of a sexual nature;
  • (13) intended for Joinrs competitors or containing links to websites competing with Joinrs.

Joinrs reserves the right to remove any job posting or content from any of its websites that, in its reasonable discretion, does not comply with the terms set out above.

If, at any time while using the Joinrs Services, you have provided false information to Joinrs or otherwise misled Joinrs as to the nature of your business activities, Joinrs shall be entitled to terminate your use of the Joinrs Services.

In addition, in their general conduct on Joinrs, employers may not use AI-generated suggestions as the sole decision-making criterion, nor use them to conduct discriminatory or unlawful screening processes.

4. Intellectual Property Rights

4.1. The Content available on the Portal is owned by Joinrs, protected by copyright, registered as intellectual property or otherwise licensed to Joinrs, and is generally protected by intellectual property rights as set out in this Article 4. The Content includes registered intellectual property of Joinrs protected under international treaties. It may not be used, copied, reproduced, distributed, transmitted, sold, licensed or otherwise exploited for any purpose without Joinrs’ prior written consent, unless expressly provided otherwise herein. Joinrs reserves all rights in the Portal and the relevant Content that are not expressly granted.

4.2. Content is owned by its respective rights holders and the related intellectual property rights are managed by the User who uploaded such Content to the Portal. Any relevant infringement will be notified to the User who uploaded the Content through the contact procedures available on the Portal.

4.3. Joinrs reserves the right, in its sole and absolute discretion, to monitor, modify, prohibit or remove any content, at any time and without prior notice, for any reason. This right of Joinrs does not, in any circumstances, imply an obligation on Joinrs to monitor the accuracy or quality of content.

4.4. All sections and content of the Portal may be subject to copyright and other intellectual property rights under Italian law, including Italian Law No. 633 of 22 April 1941 and Italian Legislative Decree No. 30 of 10 February 2005.

4.5. Each User agrees that, by uploading any content, they grant Joinrs an unlimited, royalty-free licence to use any text, data, photograph, rendering, project, map, technical specification, video, sound, message and any other item protected by intellectual property rights that has been published, provided that authorship attribution is indicated where appropriate and the material is protected by copyright. The licence extends to use in Joinrs promotional materials, including the website, marketing materials and electronic and printed advertising. The licence shall apply from the date on which the content is uploaded and shall continue for a period of 6 months after its removal.

4.6. You agree not to use, copy or distribute any of the content other than as expressly permitted herein, including, without limitation, any use, copying or distribution for any purpose, to the fullest extent permitted by applicable law. All User conduct must comply with Italian law and regulations and with any other applicable law or jurisdiction. Actions not expressly permitted through specific functions made available on the Portal, such as copying, downloading, printing, transcoding or creating derivative works, are expressly prohibited and may be prosecuted in accordance with law.

4.7. All rights, title and interest in and to the Website and the App, including, without limitation, their software or HTML code and other computer code contained in both the back-end and front-end components of the Website, the Website itself, user interface, text, graphics, scripts, photographs, images, designs, audiovisual materials, codes, software, algorithms and any other material forming part in any way of the Website and the Digital Platform (collectively, "Joinrs Content"), are owned by Joinrs and/or its licensors, where applicable, except for any data, information, Internet accounts, logos and trade names provided by the User and by Joinrs client companies. Each such rights holder shall retain ownership of its intellectual property rights, which may be used by Joinrs on a royalty-free basis vis-à-vis Users and third-party companies for recruitment purposes and for the promotion of client companies.

5. Content

5.1. Users may participate by uploading their Content to the space made available on the Portal.

5.2. The Content, including, without limitation, text, data, photographs, renderings, projects, models, maps, technical specifications, videos, sounds, messages, relevant files that are properly described and indexed, or other materials uploaded by Users, is the intellectual property of the User who publishes the Content and is not directly or indirectly endorsed by Joinrs. To the fullest extent permitted by applicable law, Joinrs makes no express or implied warranty as to the reliability, accuracy, quality or feasibility of any Content available on the Portal. Content shall remain the sole and exclusive responsibility of the User who uploaded it.

5.3. The User who uploads Content represents that they are its sole author and exclusive owner.

5.4. The User warrants (i) that they hold the rights granted, including rights relating to title to the Content, and (ii) that the Content does not infringe third-party rights or applicable criminal law. The User undertakes to indemnify and hold Joinrs harmless from any liability for damage caused to third parties as a result of any lack of rights in the Content and from claims by third parties, including teachers of courses or classes attended by the User, who consider that the Content infringes their image rights, copyright and/or intellectual property rights.

5.5. In the event of a dispute concerning ownership of the rights granted to Joinrs and/or the lawfulness of the use of the Content by Joinrs or its assignees, the User shall indemnify and hold Joinrs harmless from any judicial or extrajudicial obligation or claim brought by the holders of rights in the Content. In any event, the User shall reimburse Joinrs for any amount paid by Joinrs, including, without limitation, any amount payable as damages, legal costs, financial penalties for any type of unlawful conduct, or licence fees paid to third parties for use of the Content.

5.6. If, before publication of the Content, Joinrs informs the User of a specific risk of dispute relating to the use of certain titles, the Parties undertake to discuss the matter in good faith and consider all possible alternatives. Based on the outcome of such discussion, if Joinrs considers that the title selected by the User may constitute an infringement of intellectual property rights or other third-party rights and the User does not agree to modify it, Joinrs shall reject the Content.

5.7. Users acknowledge that the Joinrs service is not intended, designed or to be used as a tool or system for organising, negotiating or brokering professional engagements. You acknowledge and agree that Joinrs acts solely as an interface to facilitate communications between users and other companies. Joinrs will suspend any account through which such practices are carried out and will not credit any amount relating to them. Joinrs does not provide services falling within the definitions set out in Article 1754 of the Italian Civil Code.

5.8. Joinrs may remove any Content, in whole or in part, at its sole discretion if it receives notices, complaints or orders, if it considers removal appropriate to protect the Portal and/or for any other reasonable reason.

5.9. Joinrs accepts no liability whatsoever in relation to the academic qualifications and/or professional qualifications of Users of the Portal, which may not have been independently verified with the relevant local body where a User of the Portal considers it necessary to make a decision for which certainty regarding such information is relevant.

6. Use of Content

6.1. By uploading CV Content to the Portal, the User also agrees to allow employers to whom they submit an application, as well as all other companies unless the User has disabled the feature that makes their CV visible, to view and access such Content in accordance with these General Terms and Conditions.

6.2. Content may be viewed and downloaded by employers duly registered on the Portal, in accordance with the specific terms and conditions available to them and for non-profit purposes.

6.3. You also agree that Joinrs may freely use any idea or concept contained in any User Content for any purpose, including, by way of example, the development, production and marketing of products and services and the creation of informational articles, without any payment to you.

7. User Responsibility for Content

7.1. The User assumes full responsibility for the accuracy and truthfulness of any Content entered and shall ensure that such Content is not contrary to mandatory provisions and does not infringe any trademark rights, intellectual and industrial property rights, image rights or other third-party rights arising under applicable legal provisions, customs or practices.

7.2. The User assumes full responsibility for the Content and its lawfulness, with particular reference to the absence of any form and/or content involving child pornography, pornography, obscene, blasphemous or defamatory material.

7.3. The User undertakes to use the Portal Services exclusively for lawful purposes permitted by applicable law and in accordance with customary and diligent practices, without in any way prejudicing the rights of third parties, whether or not they are media users, with particular regard to data protection rules, intellectual and industrial property laws and telecommunications laws.

7.4. In all cases, the User shall indemnify and hold Joinrs harmless, both substantively and procedurally, from any damage relating to the Content and its dissemination, and undertakes to indemnify Joinrs for any loss, damage, liability or cost, including legal expenses, arising from any breach of the obligations assumed under these Terms and Conditions in connection with the User’s use of Internet services.

7.5. Under no circumstances and for no reason shall Joinrs be liable to the User for the Content, for any errors and/or omissions contained therein, or for any damage suffered as a result of the use of Content transmitted or distributed.

7.6. Joinrs serves, among other things, as a meeting point between (i) employers that publish job opportunities and search for and evaluate prospective candidates and (ii) candidates that publish CVs and profiles and search for and evaluate job opportunities. Joinrs does not filter or censor listings, including the profiles offered. Joinrs is not involved in, and does not control, the actual communications between employers and candidates. Joinrs is also not involved in any negotiations that may take place between them. Accordingly, Joinrs is not responsible for User Content, the quality, safety or legality of job postings or CVs published, the truthfulness or accuracy of items posted, the employer’s ability to offer employment opportunities to prospective candidates or candidates’ ability to fill job positions. Joinrs does not guarantee job postings, CVs or User Content on the Portal. Although Joinrs reserves the right periodically and at its discretion to remove User Content, job postings, CVs or other materials from the Portal, it assumes no obligation to do so and, to the extent permitted by law, disclaims any liability arising from its failure to take such action.

8.1. The Services or communications you receive from the Services may contain links to third-party websites or online features. The Services may also include third-party content that we do not control, maintain or endorse. Such links are provided solely for the User’s convenience. Joinrs does not endorse the content of such third-party websites. Joinrs is not responsible for the content of affiliated third-party websites and does not warrant the content or accuracy of materials available on such websites. If the User chooses to access linked third-party websites, they do so entirely at their own risk and responsibility.

8.2. The functionality of the Services may also permit interactions between the Services and a third-party website or online feature, including applications that connect the Services or your profile on the Services with a third-party website. For example, the Services may include a button allowing you to indicate on your social networking page that you "like" a specific product on the Services, a feature allowing you to post on your social networking page a link to a specific product, or the ability to share content from the Services or your User Content with a third party, which may be publicly posted on that third party’s website. To use such functionality, you will typically need to log in to your account on the third-party website. We do not control any such third-party websites or their content. Neither Joinrs nor its service providers are responsible for the practices of any third party. Accordingly, you expressly acknowledge and agree that we make no representations or warranties as to the completeness, accuracy or existence of any advertising, products or other materials on third-party websites or online features and that any reliance by you on such materials is at your own risk.

YOUR CORRESPONDENCE AND BUSINESS DEALINGS WITH THIRD PARTIES FOUND THROUGH THE SERVICES, INCLUDING, BY WAY OF EXAMPLE, THE PAYMENT AND DELIVERY OF PRODUCTS AND SERVICES AND ANY TERMS, CONDITIONS, WARRANTIES AND REPRESENTATIONS ASSOCIATED WITH SUCH DEALINGS, ARE SOLELY BETWEEN YOU AND THE THIRD PARTY.

9. Payments and Fees

Users seeking employment opportunities shall not pay any fee or charge to browse content, view or participate in online experiences, apply for job opportunities or otherwise make appropriate use of the Portal in general.

9.1. As an employer using the platform, you agree that Joinrs may charge an annual fee, discussed with its sales team and accepted by you in advance, for use of the Portal and the technological infrastructure available at www.joinrs.com and https://employer.joinrs.com/login.

10. Invoicing

The invoicing terms between Joinrs and its client companies shall be agreed with employers, and with their relevant departments or authorised personnel, when the annual agreement is entered into.

11. Joinrs Discount Codes, Bonuses, Coupons, Loyalty Programmes, Points Programmes and Other Promotions

11.1. From time to time, Joinrs may offer discounts, bonuses, coupons, loyalty programmes, points programmes, contests or other promotional incentives. Such incentives are usually subject to specific rules, restrictions and limitations, for example limitations on when, how often and under what circumstances you may be eligible for the promotion. You are responsible for carefully reviewing and complying with the applicable rules, restrictions and limitations. You agree not to engage in fraudulent, collusive or split transactions, understood as dividing large orders or sales transactions into multiple individual transactions in order to obtain multiple discounts or payments, or otherwise manipulate or defraud the system. By participating in such promotions, you agree to be bound by the applicable rules and restrictions and acknowledge that Joinrs, in its sole discretion, may deny payment or benefits to the fullest extent permitted by applicable law, for example where it believes improper activity has occurred or where a code has expired. All promotions may end at any time without prior notice to recipients. Discounts apply only to the actual rental cost or purchase price of the basic product or service. They do not apply to taxes, shipping costs, extension or late fees, or other additional charges, for example purchase-conversion fees.

12. User Warranties and Liability

12.1. Your use of this service is entirely at your own risk and you assume full and sole responsibility in connection with it.

12.2. The User expressly waives any claim for liability and/or compensation that may arise where, following a job offer, the User begins an internship and/or vocational training period that is subsequently terminated either by the employer or by the User, and/or where, at the end of the internship and/or vocational training period, the employer decides not to continue the relationship by entering into another type of employment contract, regardless of the reason. The User acknowledges that Joinrs is in no way involved in employment decisions made by the employer and that, accordingly, Joinrs cannot be held liable for any decision made by such employer.

12.3. You warrant to Joinrs that you are the exclusive holder of the rights in the content you upload to the Portal or that you have previously obtained the necessary authorisation from the holders of the rights relating to such content.

12.4. You are solely responsible for everything uploaded to the Portal using your ID and/or password and, in any event, for any conduct or action carried out through them on the Portal.

12.5. As a registered User, you undertake not to publish Content that is:

  • pornographic, obscene or paedophilic;
  • harmful to minors in any way;
  • blasphemous or offensive to morality, ethics or any religious belief;
  • contrary to public order, or glorifying violence or racial hatred;
  • unlawfully possessed or acquired by the User, such as pirated software or unauthorised copies;
  • advertising or promotional in favour of persons or entities other than the brand that is the subject of the Joinrs campaign in which the Content is uploaded;
  • related to gambling, competitions or games requiring financial participation;
  • protected by copyright, whether audio, text, images or video clips, without having first obtained authorisation from the rights holder;
  • harmful to third parties, in particular with regard to copyright or other intellectual or industrial property rights;
  • containing viruses or other software capable of damaging or affecting the operation of the website;
  • promoting or encouraging unlawful activities;
  • containing still or moving images of persons, whether well known or not, or referring to such persons without their prior authorisation;
  • containing misleading or comparative advertising messages contrary to applicable law;
  • infringing, or encouraging the infringement of, any law or regulation.

12.6. It is expressly prohibited to use the service in any way that causes harm to third parties or to commit or facilitate any type of criminal offence.

13. AI Compliance

13.1. The services offered by Joinrs involve the use of systems based on Artificial Intelligence. In accordance with Regulation (EU) 2024/1689 on Artificial Intelligence (AI Act) and the relevant Italian national legislation, Law No. 132/2025, Joinrs has adopted the organisational, technical and documentary measures necessary to ensure full compliance with the applicable obligations.

13.2. In order to ensure that candidates receive complete and transparent information, they are invited to review the Notice on the Use of Artificial Intelligence Systems, which describes the AI systems used by Joinrs and their respective purposes, the classification of those systems under applicable law, the data processing methods connected with the use of such systems, and the rights afforded to candidates.

14. Privacy of Minors

14.1. Protecting the privacy of minors is particularly important to us. It is our policy to comply with applicable Italian law in this area.

14.2. Joinrs does not operate or provide services directed at minors and does not intentionally collect information from minors. If you find any content on our Portal that is offensive or disrespectful to minors, please contact us immediately and provide all relevant details so that we can arrange for its prompt removal.

15. Joinrs Warranties and Liability

15.1. The Portal and all related services are provided by Joinrs to the User on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, as to their content and/or functionality. Accordingly, Joinrs makes no warranty regarding the accessibility of the Portal at any time and/or place, nor does it guarantee that the Portal and/or its content will be free from defects and/or errors.

15.2. Joinrs shall not be liable for any damage that may be caused to you or your computer as a result of improper use of the Portal and the services available through it.

15.3. Joinrs shall be liable only where the User can effectively demonstrate that Joinrs: (a) engaged in intentionally harmful conduct; (b) acted with gross negligence; or (c) breached an applicable provision of law concerning liability for licensed products. Under applicable laws and regulations, Joinrs may be required to compensate damage arising from injuries affecting the User’s life, physical integrity or health, provided it is demonstrated that such events are a direct consequence of Joinrs’ conduct. Under no circumstances shall Joinrs be liable for acts of slight negligence.

15.4. The User agrees to indemnify, defend and hold Joinrs harmless from any claim, request, demand for compensation or other loss, including reasonable legal fees, asserted by third parties and arising from use of the Portal and/or breach of these Terms and Conditions.

15.5. In accordance with the foregoing, Joinrs shall not be liable for service interruptions caused by natural disasters or fortuitous events, tampering with services or equipment by the User or third parties, improper use of the services by the User, or malfunction of connection devices used by the User, including where this is due to failure to comply with laws and regulations concerning safety, accident prevention and occupational risks.

15.6. Joinrs is not required to monitor content circulating through the service or actively seek facts or circumstances indicating the presence of unlawful activities without a specific order from a competent authority. Accordingly, Joinrs shall not be liable in the event of disputes concerning the lawfulness, truthfulness, correctness, quality, originality or authorship of material published on the Portal and the Market Place. Joinrs will promptly take the necessary steps to remove content that is manifestly contrary to third-party rights once it receives a direct complaint accompanied by all information necessary to assess the infringement, such as a link to the infringing content or information concerning a copyright infringement.

15.7. If Joinrs becomes aware that Content published online by the User is unlawful or harmful, it shall immediately, at its discretion, remove the infringing information and/or disable access to such data.

15.8. Joinrs shall not, under any circumstances, accept liability for any infringement of intellectual property rights in third-party content, nor for the possible loss, deletion or alteration, whether temporary or permanent, of Content for any reason. Any User who contributes material to the Portal does so at their own risk and shall bear all consequences arising from such conduct, indemnifying and holding Joinrs harmless to the fullest extent permitted by applicable law.

16.1. Joinrs undertakes to keep the Portal free from viruses and malware but cannot guarantee complete immunity from them. The User must therefore adopt appropriate security measures and use antivirus software to prevent viruses from being introduced into their software. Where hyperlinks to third-party websites are provided, Joinrs accepts no liability for any unlawful content on such websites and has no obligation to monitor them.

17. Indemnification

17.1. The User is required to indemnify and hold harmless Joinrs, as well as its affiliates and its representatives, agents, employees and third parties to whom Joinrs has granted rights in uploaded materials, from and against all losses, damages, liabilities, costs, charges and expenses, including any legal fees that Joinrs may suffer or incur as a result of the publication of Content uploaded by the User to Joinrs and/or any breach by the User of the obligations and warranties set out in this agreement and, more generally, connected with use of the service, including in the event of a claim for damages brought by third parties.

18. Suspension of the Service

18.1. Joinrs reserves the right, without prior notice, to remove the User’s account and any content produced and published by the User that breaches these Terms and Conditions.

18.2. Removal may also occur in respect of content reported to Joinrs by other Users or third parties as abusive, unlawful or protected by copyright. In such cases, Joinrs also reserves all rights to obtain compensation for damage caused by the infringing User, as provided for in Articles 10 and 11.

19. Account Removal for Inactivity

19.1. If the User does not use the services provided by Joinrs for a period of 24 consecutive months, Joinrs shall have the right to disable the User’s access to the website.

20. Amendments to the Terms and Conditions of Use

20.1. Joinrs will inform Users of any amendments with reasonable prior notice. If the User continues to use the service after the effective date, the User will be deemed to have accepted the new terms. Otherwise, the User may stop using the service and delete their account.

21. Termination of the Agreement

21.1. Pursuant to Article 1456 of the Italian Civil Code, this Agreement may be terminated without prior notice in the event of breach of the above conditions. In such case, Joinrs shall not be liable for any compensation to the User. At the same time, the User shall be liable to Joinrs for any losses, damages and other compensation arising from the breach.

22. Severability

22.1. If one or more provisions of these Terms and Conditions are declared null and void or partially ineffective, the remaining provisions shall remain valid and Joinrs shall amend the Terms and Conditions as appropriate.

23. Applicable Law and Jurisdiction

23.1. This agreement shall be governed by Italian law.

23.2. Any dispute arising from these Terms and Conditions shall be subject to the jurisdiction of the Court of Rome, Italy.

23.3. Use of the Portal and the services offered through it is prohibited in any jurisdiction that does not give effect to all provisions of these Terms and Conditions, including, without limitation, this paragraph.
