What are we looking for?
We are looking to incorporate an M&A Manager / Senior Manager to our M&A Deals team, with direct participation in the analysis, structuring, and execution of acquisition opportunities.
The position requires a combination of a solid financial and accounting base, analytical capability, and real transactional experience, covering the investment process from initial evaluation to approval, negotiation, and closing.
Analyze acquisition opportunities from a financial, strategic, and value creation perspective.
Evaluate the quality of results, cash generation, working capital, debt, and main operating drivers of target companies, including EBITDA normalization and the identification of debt-like / cash-like items when applicable.
Analyze consulting companies, professional services, and other project-based businesses, with special attention to WIP, degree of progress, backlog, utilization, revenue recognition, margins, and cash conversion.
Build and review integrated financial models, business plans, and sensitivity scenarios.
Perform valuations (DCF, trading comparables, precedent transactions, and transaction multiples).
Develop acquisition and return analysis considering entry and exit multiples, leverage, debt amortization, IRR, and MOIC, including the determination of the maximum entry price / valuation compatible with target returns.
Analyze and propose the optimal structure for each operation, including initial payment, deferred payments, earn-outs, rollover, and other alternatives.
Actively participate in the Financial, Tax, Legal, and Commercial Due Diligence processes, coordinating external advisors and internal teams and transferring key findings to the valuation, operation structure, and contractual protections.
Participate in the preparation and negotiation of LOIs, pricing mechanisms, locked-box / completion accounts, earn-outs, and other relevant economic terms of the transaction.
Prepare materials for Investment Committee, Board, and shareholders, clearly presenting the investment thesis, valuation, main risks, operation structure, and expected returns.
Accompany operations until signing and closing and subsequent follow-up of the investment case.
Minimum 6 years of relevant professional experience in M&A, Corporate Development, Investment Banking, Corporate Finance, Transaction Services, Financial Due Diligence, Private Equity, or Audit — ideally with exposure to more than one of these disciplines.
Special interest in profiles from Big Four, M&A boutiques, Investment Banking, Private Equity, Corporate Development, or Corporate Finance teams.
Practical and relevant experience in M&A operations, covering due diligence, valuation, negotiation, structuring, and execution of transactions.
Experience in consulting, professional services, engineering, IT services, or other project-based businesses will be especially valued — particularly exposure to WIP, percentage-of-completion accounting, revenue recognition, working capital, and cash conversion.
The incorporation can be at Manager or Senior Manager level depending on the degree of autonomy, transactional ownership, and previous level of responsibility.
Excellent accounting and financial base: ability to work from accounting information at the highest level of detail and autonomously build and analyze a fully integrated P&L, Balance Sheet, and Cash Flow. Solid knowledge of EBITDA normalization, quality of results, working capital, cash conversion, and debt / debt-like items.
Solid knowledge of valuation and financial modeling, including DCF, trading comparables, precedent transactions, and scenario analysis.
Ability to analyze acquisition structures and shareholder returns — including leverage, IRR, MOIC, entry / exit multiples, earn-outs, and deferred consideration — and translate target returns into a maximum entry valuation and an appropriate transaction structure.
Advanced level of Excel and PowerPoint.
Ability to operate autonomously with external advisors, management teams, shareholders, Investment Committees, and Boards.
High communication and presentation skills, with the ability to synthesize complex analyses and convey clear and effective conclusions to senior stakeholders.
Good orientation to negotiation and influence, with the ability to articulate, defend, and question ideas in a structured and convincing way.
Ability to manage complex projects with multiple stakeholders, maintaining detailed planning, discipline, and rigorous execution against deadlines.
Bilingual English or equivalent professional level, given regular contact with our investment fund and other international stakeholders.
