Department Overview:

TD Legal is dedicated to providing industry-leading advice and counsel to all TD business segments and corporate functions. In this Counsel, Financial Crime and Enterprise Investigations role, you will join a dynamic and collegial team of professionals at TD Legal, providing advice and supporting a wide range of legal and risk areas. This role will lead the Criminal Production Order Fulfillment Team as well as provide legal advice on financial crimes (fraud, anti-money laundering, anti-terrorist financing and economic sanctions) across all lines of business and functional segments operating within The Toronto-Dominion Bank. Job Responsibilities: The Counsel, Financial Crime and Enterprise Investigations role is a member of TD Legal and reports to Senior Counsel on the team. The role is required to lead and develop a team of professionals, ensuring effective oversight of policies, procedures, quality control frameworks and operational processes. The team is accountable for responding to information/production of evidence demands from various criminal and quasi-criminal authorities. The team continually engages with enforcement authorities and is also required to prepare affidavits, and on occasion attend at Court. The role is also expected to anticipate legal, regulatory, economic and reputational risk, and provide strategic and practical legal advice on a wide range of initiatives and incidents primarily involving financial crimes (fraud, anti-money laundering, anti-terrorist financing, economic sanctions and investigations). Duties include:

• Fostering a high-performance, collaborative and accountable culture while supporting individual development and engagement.

• Drive excellence through ongoing coaching, workload management, resource planning and the effective use of data, technology and controls to enhance efficiency, quality and regulatory compliance.

• Overseeing the design, implementation and continuous enhancement of team policies, procedures, quality control and quality assurance processes to ensure consistent, legally defensible and risk-informed outcomes.

• Establishing and monitoring performance and key metrics (operational effectiveness, service delivery, quality and regulatory/legal compliance, etc.) while identifying opportunities to continuously drive process and reporting improvements.

• Maintaining strong governance practices to deliver high-quality, consistent and risk-informed process outcomes.

• Providing expert-level legal advice on complying with legislated demands/orders/requests that is integrated with the strategies and objectives of the enterprise.

• Provide expert level legal advice in one of fraud law, criminal law and/or anti-money laundering and anti-terrorist financing law to a broad group of stakeholders with varying foundational knowledge.

• As required, work closely with other stakeholders, such as Financial Crime Risk Management, Fraud, Compliance, Insider Risk, Enterprise Risk, Internal Audit and other colleagues in TD Legal.

• Supporting high priority special initiatives, special projects and the team's knowledge management efforts.

• Other duties, as assigned.

Qualifications/Skills/Experience:

• Law degree from an accredited law school and qualified to practice law in Canada.

• 3+ years of relevant experience as a lawyer with in-depth knowledge of civil and criminal court processes, orders/summons/subpoenas and production expectations, required.

• 3+ years of relevant experience in at least one of banking litigation, fraud law, criminal law or anti-money laundering and anti-terrorist financing law, required.

• Experience as a people leader with demonstrated experience building, developing and leading high-performing teams, including establishing clear expectations, fostering accountability, and driving excellence through effective coaching, performance management and talent development.

• Strong teamwork, highly collaborative with a partnership-oriented approach, excelling at fostering strong working relationships and a proven ability to work effectively in cross-functional teams.

• Self-motivated and action-oriented, who approaches work with enthusiasm, resilience and a strong desire to contribute beyond defined responsibilities.

• Advanced communication (written and verbal), negotiation, conflict resolution, legal research and analytical skills

• Combines strategic and innovative thinking with a practical, hands-on mindset and a commitment to delivering excellent results with a high level of internal accountability.

• Strong technology aptitude including (i) proficiency with standard office software and ability to learn and apply new technologies in work environment and (ii) capacity to understand current and emerging technologies in the legal industry and how they affect business objectives
