Within the Corporate Bodies Affairs Area and Secretary of the Board of Directors and Endoconsiliar Committees, we are looking for an Expert in the Corporate Secretariat and Corporate Compliance Area for our Rome - Piazza Monte Grappa office.
The candidate will be responsible for the following activities:
Manage the secretarial activities and operational support of the corporate bodies of Leonardo S.p.a.;
Manage the Board Evaluation process of the corporate bodies of Leonardo S.p.a.;
Ensure the keeping of the corporate books of Leonardo S.p.a.;
Carry out the obligations concerning the corporate bodies and relations with supervisory authorities (Consob and Borsa Italiana), in coordination with other competent organizational units;
Support the corporate bodies in carrying out Internal Dealing activities, Transactions with Related Parties, Regulated Information and relating to the Market Abuse Regulation, in coordination with other competent organizational units;
Support the Magistrate of the Court of Auditors delegated to control over the financial management of Leonardo in the exercise of his functions;
Preparation and management of the Shareholders' Meeting and related obligations in coordination with other competent organizational units;
Ensure the management of relations with the shareholders of the Shareholders' Office (including retail and minorities) in view of the Shareholders' Meeting and dividend payments.
Law Degree.
Senior (5 - 10 years of experience).
In-depth knowledge of corporate law;
Previous experience of at least 5 years in corporate secretariats and corporate compliance in listed/supervised companies;
Knowledge and ability to deepen and interpret legislation on: corporate governance and legislation for listed companies.
Relational skills;
Ability to manage relationships, including with directors and auditors.
Excellent knowledge of English (B2/C1 level)
